Terms and Conditions

These terms and conditions (the “Terms“) apply to www.boardylanguage.com (the “Site“) and form the terms and conditions on which we supply products and services to you. Please read through the Terms prior to using the Site. Each time you access or use the Site, you acknowledge and signify that you have read, understood, and agree to be bound by the most current version of these terms of use. If you do not agree with these terms of use, you may not access or use the Site. Your use of the Site indicates that you have acknowledged, understood, and agree to adhere to the Terms.

These Terms constitute an agreement between you (hereinafter, “you” or “your“) on the one hand, and Boardy Language, a business registered in Singapore (hereinafter, “us,” “our,” “we,” “Boardy Language” or the “Vendor“) on the other hand, in relation to your use of the Site, the goods/services offered and sold through this Site, any orders you place through the Site or in our stores, and other interactions with us (collectively, the “Boardy Langauge Services“). Before you place an order, please carefully read these Terms and our Privacy Policy.

If we need to contact you for service-related matters, we will do so by telephone or by writing to you at the email address or postal address you have provided to us in your order. “Writing” or “written” in these Terms includes emails.

Accessing And Using The Site

As a condition of your access to and/or use of the Site, you warrant that:-

all information supplied by you on the Site is accurate, current and complete;
you are 18 years of age or older in order to access and/or use the Site; and
you will not copy or distribute any part of the Site in any medium without Boardy Language’s prior written authorization.

You shall be solely responsible for your access to and/or use of the Site and its materials herein.

Where you create a user account and password, you must treat such information as confidential, and you must not disclose it to any third party. We reserve the right to disable any user account at any time, if in our opinion you have failed to comply with any of the provisions of these Terms.

Prohibited Activities

You agree and undertake not to:

Use the Site for illegal purposes or other than in conformance with the acceptable use policies of any connected computer networks, any applicable Internet standards and any other applicable laws;
Impersonate any person or entity or to falsely state or otherwise misrepresent your affiliation with any person or entity;

iii. Attempt to gain unauthorized access to or otherwise interfere or disrupt other computer systems or networks connected to the Site, interfere with another’s utilization and enjoyment of the Site, or use or upload, in any way, any software or material that contains, or which you have reason to suspect that contains, viruses, damaging components, malicious code or harmful components which may impair or corrupt the Site’s data or damage or interfere with the operation of another customer’s computer or mobile device or the Site; and

Post, promote or transmit through the Site any information, graphics, photographs, data and/or any other material that contains any computer virus or other invasive or damaging code, program or macro; infringes any third-party intellectual property or any other proprietary rights; is defamatory, libelous or threatening; is obscene, pornographic, indecent, counterfeited, fraudulent, stolen, harmful or otherwise illegal under any applicable law; and/or is or may be construed as offensive and/or otherwise objectionable, in our sole opinion.

Loyalty Program

If you are part of our loyalty program, you may collect and redeem your rewards when you shop online at the Site. The points and reward structures are set out on the Site.

If you participate in the loyalty program, you agree to the following:

Your points and rewards have no cash value and may not be exchanged for cash.
You must provide your email address when you wish to collect points.

iii. Your points and rewards cannot be transferred, bought, sold or in any way traded.

You can check your points and rewards on your online account. In case of any inconsistency between the membership points reflected in your account and our internal records, the latter shall prevail.
Points earned and/or redeemed will be updated on your online account within a reasonable period of your transaction.
You can use your points to redeem rewards only via your personal online account. Rewards can be used online or offline as specified in their terms and conditions.

vii. Unless otherwise indicated, points are earned on all purchases except gift cards, coupon codes, store credits, delivery charges and carrier charges.

viii. All points obtained 12 months ago will expire at the end of the 12th month.

Each reward can only be used once towards the partial or full payment of regular-priced products.
Rewards cannot be used in conjunction with other promotions, offers or discounts unless otherwise stated.
Unless otherwise stated, rewards can be used to purchase any Boardy Language products, except gift cards and delivery charges.

The program terms and conditions, structures, FAQs or any other descriptions of the program are subject to change at any time.

We further reserve the right to change, modify (including how points will be earned and redeemed and what rewards will be available), terminate, discontinue or cancel the program at any time and in our sole discretion. Any changes, modifications or termination or any part of the program or its terms will be effective upon publications of those changes on the Site.

Your continued participation in the program will confirm your acceptance of such changes or modifications. Therefore, you should review these terms and conditions and applicable policies frequently to understand the terms and conditions that apply to the program.

Links To Third Party Sites

The Site may contain links to third party websites that are not affiliated with or owned, operated, or controlled by Boardy Language, including third party payment system providers. You acknowledge and agree that Boardy Language is not responsible for the content, privacy policies, or practices of such third party websites or the companies that own them. By using the Site, you expressly relieve Boardy Language from any and all liability arising from your access and use of any third party website.

We encourage you to review the terms and conditions and privacy policies of any third party websites before using them and disclosing your personal data to them.

Intellectual Property Rights

Boardy Language is the owner or the licensee of all intellectual property rights in and to the content on the Site, and in the material published on it. You may not copy, reproduce, modify, republish, upload, post, transmit, adapt, download, distribute or howsoever deal with any content or material from the Site in any form or by any means without Boardy Language’s prior written permission, and you are solely responsible for obtaining such permission before dealing with any content or material that is available on the Site.

Limitation of Liability

The Site, its services and all information provided herein are provided on an “as is” and “as available” basis without warranties of any kind, either expressed or implied, other than those imposed by law, including but not limited to warranties of title or implied warranties of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement.

Without limiting the generality of the foregoing, we expressly disclaim any warranty, condition, guarantee, term or representation (i) as to the reliability, accuracy, completeness, and validity of any content or material on the Site; (ii) that the functions contained on the Site will be secure, uninterrupted or error-free; and (iii) that any defects will be corrected. Any and all such warranties, conditions, terms and representations are specifically excluded. We assume no responsibility for errors or omissions in the materials on the Site, including factual or other inaccuracies or typographical errors. You expressly agree that your use and/or access of the Site is at your sole risk.

You further acknowledge and agree that your access and use of the Site is dependent on third party service providers such as internet, network, connectivity or other link providers. Your payment for any product purchased from the Site is processed by third party payment system providers and Boardy Language does not retain or process any such payment information. Boardy Language cannot guarantee the security of such third party payment system(s) or any payment data on the Site. Boardy Language is not responsible for any acts or omissions of any third parties and disclaims any and all liability in connection with the acts, omissions or defaults of such third parties. Without prejudice to the generality of the foregoing, Boardy Language is not responsible for the results of any credit inquiry, the availability or performance of the Internet, your connection to the Internet or the actions or inaction of any other person or entity, including any internet service provider. By using the Site, you expressly relieve Boardy Language from any and all liability in connection with the acts, omissions or defaults of such third parties.

To the extent permissible at law: We shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any order;

Our total liability to you for all other losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total sums paid by you for products under such order.

Misprint and Errors

We endeavour to provide current and accurate information on the Site, but misprints, errors, inaccuracies, omissions (including incorrect specifications for products) or other errors may sometimes occur. Boardy Language cannot guarantee that products and services advertised on the Site will be available when ordered or thereafter, and does not warrant that the content of the Site (including product descriptions, photographs and colours) is accurate or complete.

Without prejudice to the generality of the foregoing, we expressly disclaim any and all liability arising from:-

life or wear of any product or that it will be suitable for any particular purpose or use under any specific conditions, notwithstanding that such purpose or conditions may be known or made known to Boardy Language;
improper remedy of defective products, alteration of the products, unsuitable or improper use, wilful damage, negligence, or other misuse of the products, as well as fair wear and tear, by you or any third party;
third party claims, whether directly or indirectly caused by, or relating to, the content of our Site and the products purchased on or through our Site; and
any warranties provided under these Terms if the total price for the product has not been paid in cleared funds by the due date for payment.

We reserve the right to: (a) correct any error, inaccuracy or omission at any time without prior notice or liability to you or any other person; (b) change at any time the products and services advertised or made available for sale on the Site, the prices, fees, charges and specifications of those products and services, any promotional offers and any other Site content in order to reflect changes in relevant laws or regulatory requirements or to implement minor technical adjustments or improvements without any notice or liability to you or any other person; (c) refuse any order you place; and (d) limit quantities available for sale or sold. The advertisements on the Site are invitations to make offers to purchase products and services and are not offers to sell.

Indemnities

You agree to indemnify us and hold us and our partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, directors, and representatives harmless from any claims, losses, and damages, including reasonable attorneys’ fees, arising out of:

Your access of, use of and/or participation in this Site;
Breaches of your obligations under these Terms;
Your violation of any rights of another person or entity; and/or
Your breach of any statutory requirement, duty or law.

Termination

We will determine in our sole discretion whether there has been a breach of these Terms through your use and/or access of the Site. When a breach of these Terms has occurred, we may take such action as we deem appropriate, including:-

Immediate, temporary or permanent withdrawal of your right to use and/or access the Site;
Issuing a warning to you;

iii. Forfeit the points you have accumulated under the loyalty program;

Commencing legal proceedings against you for loss resulting from your breach; and
Disclosure to law enforcement authorities of such information as we reasonably deem necessary.

We exclude liability for any actions taken in response to breaches of these Terms. The responses described above are not exhaustive, and we may take any other action we reasonably deem appropriate.

Orders & Payments

You may place an order with us by completing and submitting the order form on the Site. You shall be responsible for ensuring the accuracy of all orders. All orders will be deemed to be irrevocable and unconditional upon transmission through the Site, and we shall be entitled, but not obliged, to process such order(s) without your further consent and any further reference or notice to you.

We reserve the right to accept or decline any and all orders received from or through the Site in our sole and absolute discretion. Our acceptance of your order will take place when a confirmation email is sent to your registered email address with us, at which point a contract will come into existence between you and us. Each fully-paid order accepted by us shall constitute a separate and individual contract governed by these Terms . We will assign an order number to your order when we accept your order. Please tell us the order number whenever you contact us about your order.

If we are unable to process your order, we will inform you of this. This might be because the product is out of stock, because of unexpected limits on our resources for which we could not reasonably plan, because a credit reference we have obtained for you does not meet our minimum requirements, because we have identified an error in the price or description of the product, or because we are unable to meet a delivery deadline you have specified.

The price payable by you for the product shall be the price of the product listed for sale as stated on the Site at the time your order is transmitted to us through the Site, and any applicable taxes and or fees from our third party payment provider. All prices are subject to taxes, if applicable, unless otherwise stated. We reserve the right to amend the price of any product at any time without giving any reason or prior notice. Please complete payment at the moment your order was placed as all unpaid orders will be cancelled automatically after an hour. It is always possible that, despite our best efforts, some of the products we sell may be incorrectly priced. We will normally check prices before accepting your order so that, where the product’s correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the product’s correct price at your order date is higher than the price stated to you, we will contact you for your instructions before we deliver your order.

We accept Paynow, Paylah, and all major credit cards through our third party payment provider. Extra fees apply for all payments through our third party payment provider.

Product Description, Damaged/Defective and Incorrect Items

We try to be accurate as reasonably possible in our descriptions of products available for purchase through the Site. However, our products may vary slightly from their pictures. The images of the products on our Site are for illustrative purposes only. Colours may appear slightly different in reality due to studio lighting conditions, or variances in computer screen calibration. We do however strive to ensure that screen colours are true to life, as much as possible. We do not warrant that product descriptions or other content on the Site are accurate, complete, reliable, current, or error-free.

Damaged/Defective Items

If you believe you have received a damaged/defective item, send us an email within 2 business days of the day of delivery at support@boardylanguage.com with your order number, and a photograph of the defect. We reserve the right to reject your request for an exchange or refund if item(s) do not comply with the above.

Once we have confirmed that the item(s) are eligible for return due to a defect, we reserve the right to choose one of the following options at our sole discretion:

Request that you return the item(s) to us and obtain a refund via store credits or to your original payment method;
Allow you to keep the item(s) while we process a replacement or issue a partial refund via store credits or to your original payment method; or
In the case of missing game components, we will arrange for the publisher of the item(s) to provide a replacement part either directly to you, or sent to us and mailed by regular local postal service onwards to you at no additional cost to you.

Should we request for the item(s) to be returned, please note that we will reimburse the postage costs, up to the amount equivalent to our least expensive delivery method, in the form or store credits. To illustrate, if an expedited delivery option was selected despite the availability of a standard, more economical option, the refund would be limited to the cost of the standard delivery.

Please ensure that the item(s) are packed securely, as we reserve the right to lower the refund or exchange amount if additional defects are detected during the processing of your return or exchange request, at Boardy Language’s sole discretion.

Upon written confirmation of your eligibility for a replacement or refund, please allow up to thirty (30) business days for our processing of the request. You will receive an email once your refund/exchange is processed. Where store credits are issued, such store credits will expire after 12 (twelve) months.

In the event that we receive items that do not match the item(s) we have sent out to you, we reserve the right to decline your replacement or refund request and dispose of the returned item(s) at Boardy Language’s sole discretion.

Incorrect Items

If you believe you have received the wrong item, send us an email at support@boardylanguage.com with your order number, and a photograph of the item.

Items must be new, unopened, unused, unmarked, with all external shrink wrap or seal tape(s) intact, and not defaced in any manner. We reserve the right to reject your request for a refund if item(s) do not comply with the above.

Once we have confirmed that the item(s) are eligible for return due to being incorrect, we reserve the right to choose one of the following options, at our sole discretion:

Request that you return the item(s) to us; or
Allow you to keep the item(s) while we process a replacement or issue a refund via store credits or to your original payment method.

Should we request for the item(s) to be returned, please note that we will reimburse the postage costs, up to the amount equivalent to our least expensive delivery method. To illustrate, if an expedited delivery option was selected despite the availability of a standard, more economical option, the refund would be limited to the cost of the standard delivery.

Returns

(a) Online Purchases

Subject to the conditions set forth below, Boardy Language will gladly accept returns or exchanges of new, unopened, unused, unmarked items, with all external shrink wrap or seal tape(s) intact, and not defaced in any manner, with your original receipt within a period of fifteen (15) days of the original purchase date (“Return Order Request“), unless a longer period of time is specified in writing at the time of purchase, the email sent from us confirming receipt of your order (“Order Confirmation“), or the email sent from us confirming the dispatch of your order (“Shipment Confirmation“) purchased on the Site.

Conditions for returns:

The following orders are eligible for returns:

Orders made with promo codes or points are returnable unless stated otherwise in the promo code terms and conditions.
Returnable items must be new, unopened, unused, unmarked, with all external shrink wrap or seal tape(s) intact, and not defaced in any manner.

Exclusions

The following products are not eligible for returns:

Card sleeves are not eligible for exchange, refund or return. All product(s) sold at marked down prices are not eligible for exchange, refund or return.
All product(s) marked as “Used”, “Box Opened & Unplayed”, and “Deep Discount” or otherwise stated as not eligible for exchange, refund, or return in the product description, are not eligible for exchange, refund or return,
All product(s) procured pursuant to any giveaways or contests shall be subject to the applicable terms and conditions and are not eligible for exchange, refund or return.

If you wish to make a return for an online purchase, you must do so by following the instructions on our return policy, and initiating a Return Order Request. Refunds will only be made in the form of a store credit, unless otherwise stated by Boardy Language. We do not provide cash refunds for any return orders and delivery fees. Please send the product(s) in the same package received by following the directions contained in our return policy. We are not responsible for lost packages that do not follow our instructions contained in our return policy. We are also not responsible for non-Boardy Language products included in any returns.

Subject to applicable law, all Boardy Language products are sold “as-is”. Boardy Language reserves the right to refuse returns of any products that do not meet the above return requirements in Boardy Language’s sole discretion. We take the security and integrity of our services seriously, and we may take necessary actions, including closing an account or refusing returns, if we suspect any fraudulent behavior, excessive returns, or violations of our Terms. Please include with the product(s) being returned all original boxes, instructions, documents, and wrappings. After reviewing the product(s), we will let you know whether or not you have a right to a refund based on our return policy conditions. If your returns are in order and accepted by us, we will process your refund as soon as possible and in any case, within thirty (30) days of the date the returned goods have been received by us. All refunds will be in store credits unless otherwise stated by Boardy Language in writing. Store credits will expire within two (2) years from the date they are credited into your account.

(b) In-person Purchases

Subject to the conditions set forth below, Boardy Language will gladly accept exchanges of new, unopened, unused, unmarked, with all external shrink wrap or seal tape(s) intact, and not defaced in any manner, where applicable, with your original receipt within fifteen (15) days of the original purchase date. We do not accept exchanges without a receipt. Unless otherwise stated by Boardy Language in writing, all product(s) purchased in person are not eligible for return or refund.

Conditions for store exchange:

Only full-priced items in their original condition, new, unopened, unused, unmarked, with all external shrink wrap or seal tape(s) intact, and not defaced in any manner.
You may exchange to another item:

Exchange to lower value items – No refunds or reimbursements will be made.
Exchange to higher value items – A top-up is required.

Full-priced items (with promo code applied) can be exchanged, but discounts are non-transferrable.
Purchases made with promo codes are exchangeable unless stated otherwise in the promo code terms and conditions.
Exchanges to a retail gift card are not allowed.

Exclusions

The following products are not eligible for store exchange:

Card sleeves are not eligible for exchange, refund or return.
All product(s) sold under the “Offers” category on the Site or labelled as “Deep Discount” in the product title on the Site are not eligible for exchange, refund or return.
All full priced product(s) sold with promotional codes in which the terms attached to such promotions have been stated that exchange, refund and return is not allowed.

Boardy Language reserves the right to refuse the exchange of any products that do not meet the above conditions in our sole discretion.

Gift Cards

Gift cards are valid for two (2) years, and are strictly non-refundable and non-extensible. Gift cards can be redeemed over multiple transactions, until its value has been fully utilized.

Store Credit

Store credit in your Boardy Language account can be redeemed towards the purchase of an item from our Site. Store credits will expire within two (2) years from the date they are credited into your account. Store credits are strictly non-refundable, non-extensible and non-transferable.

Updates

We may change any content or material on the Site at any time. Any of the content or material on the Site may be out of date at any given time, and we are under no obligation to update the Site. We shall not be liable if for any reason the Site, or any portion thereof, is unavailable at any time or for any period. We reserve the right to refuse any and all current or future access to and/or use of the Site without prior notice to you.

If we decide to change our Terms for the Site, we will post the revised Terms here and, if appropriate, notify you by email. Please check back frequently to see any updates or changes to our Terms. Any changes will not affect any orders that you have placed, and that we have accepted, prior to the date of the change. Your continued use of the Site indicates your consent and agreement to the Terms as posted.

Delivery

You may refer to our Shipping & Returns Policy here for more details.

The cost of delivery of your order will be displayed to you on our Site. We offer international shipping and you may refer to our Order and Delivery Policy for more details.

We will endeavor to send the order consisting of the product(s) listed in each delivery confirmation in the estimated timeframe indicated when selecting the delivery method and, in any case within a maximum period of thirty (30) days from the date of the Order Confirmation.

Nonetheless, there may be delays for reasons such as the occurrence of unforeseen circumstances or the delivery zone.

Our local delivery partner shall deliver the product to the address specified in your order.

If delivery of your product is delayed, we will inform you accordingly and the product will be dispatched after it becomes available. Neither we nor our agents shall be liable for any delay in delivery howsoever caused.

For the purpose of these Terms, the “delivery” shall be understood to have taken place or the order “delivered” as soon as you or a third party indicated by you acquires physical possession of the goods, which will be evidenced by proof of delivery by our courier partner or the signing of the receipt of the order, at the delivery address indicated by you in your order.

Bounced Packages

In the event (i) the delivery of product(s) is delayed through your unreasonable refusal to accept delivery; and/or (ii) the product(s) cannot be delivered after three (3) attempts; and/or (iii) the product(s) are not collected within thirty (30) days from the pick-up point location, we may (without affecting any other right or remedy available to us) do the following:

(a) charge you for any fee and other costs reasonably incurred by us; and/or

(b) no longer make the product(s) available for delivery or collection and notify you that we are immediately cancelling the applicable Order, in which case we will refund to you in store credits as applicable any money already paid to us under the Order, less our reasonable administration charges (including for attempting to deliver and then returning the product(s), and any storage fees.

Taxes and Duties

The prices on our Site do not include taxes, duties or shipping.

Depending where you live, your country’s customs office may impose a few additional charges on your order: import fees, declaration fees, import duties (tariffs) and/or taxes. In some countries, orders below a certain value may not be subject to duties. This is often known as De Minimis value and is determined by your local customs office. For all online orders — including the purchase of gift cards — all the fees required for customs clearance are the sole responsibility of the customer (that’s you). They will be charged upon arrival.

Occasionally, customs agents may delay the delivery of packages at their discretion.

We are required to disclose the value of your order, i.e., the price, directly on the package. We have no control over these charges. For more information on customs, duties, taxes and other import charges, please contact your local customs office.

When You Become Responsible For The Product

The product will be your responsibility from the time we deliver the product to the address you provided us. You own the product which is the subject of your order once we have received payment in full for your order.

Termination

We may terminate the order at any time by writing to you if:

You do not make payment to us when it is due;
You do not, within a reasonable time of us asking for it, provide us with information necessary for us to provide you with the product (e.g. delivery address);
You do not, within a reasonable time, allow us to deliver the product to you;
If we terminate the order in the situations set out above, we will refund any money you have paid in advance for products we have not provided, but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the contract.

Personal Data

We may collect, use and disclose personal data that you provide to us to supply the product to you, process your payment for the product, to send you newsletters if you have registered for our mailing list, and other specified purposes. You should read our Privacy Policy for full details on what information we collect relating to you.

General

No Relationship: Neither these Terms nor your use and/or access of the Site creates any joint venture, agency, partnership, or employment relationship between you and Boardy Language.

Assignment: You may not assign these Terms or any rights or obligations under these Terms to any party. We may transfer our rights and obligations under these Terms to another organisation.

Waiver & Severability: The failure of Boardy Language to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions of these Terms shall remain in full force and effect.

Third Party Rights: A person who is not a party to this agreement shall have no right to enforce or to enjoy the benefit of any term of this agreement.

Entire Agreement: These Terms, which expressly incorporate the Privacy Policy, Return Policy, Order and Delivery Policy, and the terms and conditions referred to therein, constitute the entire agreement between you and Boardy Language relating to the subject matter hereof, and supersedes any and all prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on the Site.

Governing Law: These Terms and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Singapore.

Dispute Resolution: Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules“) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be in English.
